1. Acceptance of Terms

By registering, accessing, or using the GoPickup platform (www.gopickup.live), you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, you must not register or use the platform.

Using the platform in any capacity — as a client, vendor, driver, manufacturer/shipper, or affiliate — constitutes your binding acceptance of these Terms.

2. Platform Role

GoPickup is a marketplace and connecting platform that connects clients, vendors, drivers, and manufacturers/shippers for the sourcing, quoting, and delivery of building materials.

GoPickup is not the seller, transporter, or contractor of record in any transaction. Transactions are between the matched parties; GoPickup facilitates matching, pricing workflows, communication, and logistics coordination.

3. Intellectual Property & Non-Replication

Critical — GoPickup is at MVP stage. This clause protects the platform, its concept, and its brand.

• The platform concept, design, workflows, business model, code, brand (GoPickup, GoStay, GoErrand, GoServ, Tasi), databases, BOQ templates, price lists, and all content are the exclusive intellectual property of Leoven Group / Leoven Logistics Ltd.
• You must NOT copy, clone, reverse-engineer, replicate, or create a competing platform derived from GoPickup's concept, features, workflows, or materials — during or after your use of the platform.
• You must NOT use platform data, vendor lists, driver lists, pricing data, BOQ templates, or analytics to build or benefit a competing service.
• Violation of this clause results in immediate account termination and may result in legal action to the fullest extent permitted by law.

4. Account Responsibility

You must provide accurate and complete information at registration and keep it up to date. You are responsible for safeguarding your login credentials and for all activity under your account.

You may hold one account per person or business unless expressly approved by GoPickup. Accounts are non-transferable.

5. Acceptable Use

• No fraud, fake orders, fake reviews, or price manipulation.
• No misuse of the negotiation, quotation, or markup systems.
• No harassment of other users, drivers, vendors, or staff.
• No scraping, bulk extraction, or automated access of platform data.

6. Transactions & Payments

GoPickup applies a platform commission/markup structure to transactions. The exact markup is applied invisibly to each party as defined by the platform and may change over time.

GoPickup does NOT currently offer an escrow service. No escrow is promised anywhere on the platform. Payments are settled directly between the matched parties per the agreed terms.

7. Suspension & Termination

GoPickup may suspend or terminate any account that violates these Terms, that engages in fraudulent or harmful activity, or that poses a risk to the platform or its users.

Upon termination, your right to use the platform ends immediately. Certain clauses (including Intellectual Property & Non-Replication) survive termination.

8. Limitation of Liability

The platform is provided "as is" and "as available", without warranties of any kind. To the maximum extent permitted by law, GoPickup and Leoven Group shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform.

9. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, together with the local laws of the operating country where applicable. Any disputes shall be resolved in the competent courts of Nigeria unless otherwise required by local law.

10. Changes to Terms

GoPickup may update these Terms from time to time. When material changes are made, users will be notified and required to re-accept the updated Terms on their next login. Continued use after changes constitutes acceptance.
